    <bpmn:extensionElements>
      <lex:model id="il-business" jurisdiction="il" jurisdictionName="Illinois" reviewStatus="draft" method="gold-manual">
        <lex:gap>Only the LLC filing path is modelled step by step (articles of organization under 805 ILCS 180/5-1, 5-5 and 5-55). Illinois issues no separate certificate of organization: the Secretary of State endorses "Filed" and the date and files the original (§ 5-55(a)(3)(A), (B)), and the company is organized when the articles are filed or on a later date specified in them (§ 5-5(b)). The other structures are not modelled step by step: a limited partnership is formed when the Secretary of State files its certificate (805 ILCS 215/201(c)); a partnership becomes an LLP by filing a statement of qualification, and the Secretary of State must register any partnership that submits a completed application with the required fee (805 ILCS 206/1001(c), (i)).</lex:gap>
        <lex:gap>Filing evidence for the articles is the Secretary of State's filing itself (§ 5-5(b)), not necessarily a returned copy. Under § 5-55(a)(1) a copy is delivered only when the Act requires the document to be filed in duplicate; the LLC Act requires duplicates for an assumed name application (§ 1-20(b)) but not for articles of organization (§§ 5-5 and 5-45 are silent). So the endorse-and-return-the-copy duty (§ 5-55(a)(3)(A), (C)) is modelled only on the assumed name branch; if a filer does deliver a copy of the articles, the endorsement on "the copy" and its return would apply there too.</lex:gap>
        <lex:gap>The delayed effective date in § 5-5(b) (any later time specified in the articles, not more than 60 days after filing) is a ceiling on the date the articles may choose, not a period for anyone to act, and nothing happens when it runs; it is therefore not drawn as a timer. The outcome llc_exists follows the filing; with a delayed date the company is organized on the specified date instead.</lex:gap>
        <lex:gap>The Secretary of State's review is modelled from the contents list in § 5-5(a), organizer eligibility under § 5-1(a) and the fee rule in § 5-55(a). The name requirements of § 1-10, the duration clause (§ 5-5(a)(5.5), perpetual unless stated) and the signing rules of § 5-45 are not checked here.</lex:gap>
        <lex:gap>Interrogatories (§ 5-60): the Secretary of State may send them; they must be answered in writing and under oath within 30 days after mailing or any additional time the Secretary fixes (the extension is not modelled), and the document need not be filed until they are answered, and not then if the answers show non-conformity (that second limb is covered by the review decision). Failing to answer in time is also a petty offense (§ 1-20(h)). § 5-60 directs interrogatories to the company's managers or members; how they reach an organizer before the company exists is not stated, so the company is shown as the answering party. The missed-deadline consequence is recorded as 'unstated' because the text says only that the Secretary need not file, not that the filing is refused or deemed denied.</lex:gap>
        <lex:gap>The statute sets no time limit for the Secretary of State to act on the articles, and says nothing about what happens to non-conforming articles beyond not filing them; rejection and resubmission are not modelled.</lex:gap>
        <lex:gap>Trust-company LLCs need a statement from the Secretary of Financial and Professional Regulation before filing, and bank or savings-bank LLCs file with that Department or a federal regulator instead (§ 5-5(c), (d)); not modelled.</lex:gap>
        <lex:gap>An LLC that trades under an assumed name files in duplicate with the Secretary of State under § 1-20, not with the County Clerk (805 ILCS 405/4). The assumed-name fee is prorated by the year in the five-year cycle (§ 50-10(b)(9)); the right runs from the Secretary's filing date (§ 1-20(c)). Renewal every five years with the annual report (§ 1-20(c), (d)) is not modelled.</lex:gap>
        <lex:gap>Sole proprietors and general partnerships using an assumed name file with the County Clerk of every county where they do business, publish notice for 3 consecutive weeks starting within 15 days, and file proof of publication within 50 days or the registration is void (805 ILCS 405/1); trading without complying is a Class C misdemeanor, each day a separate offence (805 ILCS 405/5, not cited in sections). The county's filing fee is not stated in the Act.</lex:gap>
        <lex:gap>State formation is only part of starting a business: Illinois has no single statewide general business licence. Municipal and county licences, state tax registration (Illinois Department of Revenue) and occupational licences come from other laws and local ordinances, which are scored separately.</lex:gap>
        <lex:gap>Professionals: a professional corporation needs every organizer licensed for the same or related professional services (805 ILCS 10/6) and a certificate of registration from the regulating authority before opening an establishment ($50, 805 ILCS 10/12(a)); a professional LLC files articles stating the professional service (805 ILCS 185/11) and needs a Department certificate of registration before opening an establishment ($50, 805 ILCS 185/15(b), (c)). A separate registration application is needed for each business location (805 ILCS 185/15(d)), and registrations expire every third January 1 with a $40 renewal (805 ILCS 185/15(e)); these are not modelled as steps. Licensed persons may still use other permitted business forms (805 ILCS 10/4, not cited in sections).</lex:gap>
        <lex:gap>LLP as a liability shield: the structure table keeps the seven-rule order shared with other states, so a multi-owner business wanting limited liability is routed to the LLC rule, which names the LLP (805 ILCS 206/1001) as an alternative; the general-partnership rule names it as an optional later step.</lex:gap>
        <lex:gap>Business corporations owe an initial franchise tax under the Business Corporation Act in addition to the $150 filing fee; the tax sections are not printed here.</lex:gap>
        <lex:gap>The 'required fee' for an LLP statement of qualification is not stated in the sections printed (805 ILCS 206/1001(e)); LLP status lasts one year after filing, so renewal is presupposed but not modelled.</lex:gap>
        <lex:gap>Not-for-profit corporation status is a state corporate form, not tax exemption; federal 501(c) status is outside the Illinois Compiled Statutes and not modelled.</lex:gap>
        <lex:gap>Annual reports ($75 for an LLC, § 50-10(b)(11); $75 for a business corporation, 805 ILCS 5/15.10(o); $10 for a not-for-profit, 805 ILCS 105/115.10(m); $100 for a limited partnership, 805 ILCS 215/1302(b)(6)) are not modelled.</lex:gap>
        <lex:gap>LLCs with series or the ability to establish a series pay $400 instead of $150 (§ 50-10(b)(1)); not modelled in the fee step.</lex:gap>

===== What the text leaves open =====

  * Only the LLC filing path is modelled step by step (articles of organization under 805 ILCS 180/5-1, 5-5 and 5-55). Illinois issues no separate certificate of organization: the Secretary of State endorses "Filed" and the date and files the original (§ 5-55(a)(3)(A), (B)), and the company is organized when the articles are filed or on a later date specified in them (§ 5-5(b)). The other structures are not modelled step by step: a limited partnership is formed when the Secretary of State files its certificate (805 ILCS 215/201%%(c)%%); a partnership becomes an LLP by filing a statement of qualification, and the Secretary of State must register any partnership that submits a completed application with the required fee (805 ILCS 206/1001%%(c)%%, (i)).
  * Filing evidence for the articles is the Secretary of State's filing itself (§ 5-5(b)), not necessarily a returned copy. Under § 5-55(a)(1) a copy is delivered only when the Act requires the document to be filed in duplicate; the LLC Act requires duplicates for an assumed name application (§ 1-20(b)) but not for articles of organization (§§ 5-5 and 5-45 are silent). So the endorse-and-return-the-copy duty (§ 5-55(a)(3)(A), %%(C)%%) is modelled only on the assumed name branch; if a filer does deliver a copy of the articles, the endorsement on "the copy" and its return would apply there too.
  * The delayed effective date in § 5-5(b) (any later time specified in the articles, not more than 60 days after filing) is a ceiling on the date the articles may choose, not a period for anyone to act, and nothing happens when it runs; it is therefore not drawn as a timer. The outcome llc_exists follows the filing; with a delayed date the company is organized on the specified date instead.
  * The Secretary of State's review is modelled from the contents list in § 5-5(a), organizer eligibility under § 5-1(a) and the fee rule in § 5-55(a). The name requirements of § 1-10, the duration clause (§ 5-5(a)(5.5), perpetual unless stated) and the signing rules of § 5-45 are not checked here.
  * Interrogatories (§ 5-60): the Secretary of State may send them; they must be answered in writing and under oath within 30 days after mailing or any additional time the Secretary fixes (the extension is not modelled), and the document need not be filed until they are answered, and not then if the answers show non-conformity (that second limb is covered by the review decision). Failing to answer in time is also a petty offense (§ 1-20(h)). § 5-60 directs interrogatories to the company's managers or members; how they reach an organizer before the company exists is not stated, so the company is shown as the answering party. The missed-deadline consequence is recorded as 'unstated' because the text says only that the Secretary need not file, not that the filing is refused or deemed denied.
  * The statute sets no time limit for the Secretary of State to act on the articles, and says nothing about what happens to non-conforming articles beyond not filing them; rejection and resubmission are not modelled.
  * Trust-company LLCs need a statement from the Secretary of Financial and Professional Regulation before filing, and bank or savings-bank LLCs file with that Department or a federal regulator instead (§ 5-5%%(c)%%, (d)); not modelled.
  * An LLC that trades under an assumed name files in duplicate with the Secretary of State under § 1-20, not with the County Clerk (805 ILCS 405/4). The assumed-name fee is prorated by the year in the five-year cycle (§ 50-10(b)(9)); the right runs from the Secretary's filing date (§ 1-20%%(c)%%). Renewal every five years with the annual report (§ 1-20%%(c)%%, (d)) is not modelled.
  * Sole proprietors and general partnerships using an assumed name file with the County Clerk of every county where they do business, publish notice for 3 consecutive weeks starting within 15 days, and file proof of publication within 50 days or the registration is void (805 ILCS 405/1); trading without complying is a Class C misdemeanor, each day a separate offence (805 ILCS 405/5, not cited in sections). The county's filing fee is not stated in the Act.
  * State formation is only part of starting a business: Illinois has no single statewide general business licence. Municipal and county licences, state tax registration (Illinois Department of Revenue) and occupational licences come from other laws and local ordinances, which are scored separately.
  * Professionals: a professional corporation needs every organizer licensed for the same or related professional services (805 ILCS 10/6) and a certificate of registration from the regulating authority before opening an establishment ($50, 805 ILCS 10/12(a)); a professional LLC files articles stating the professional service (805 ILCS 185/11) and needs a Department certificate of registration before opening an establishment ($50, 805 ILCS 185/15(b), %%(c)%%). A separate registration application is needed for each business location (805 ILCS 185/15(d)), and registrations expire every third January 1 with a $40 renewal (805 ILCS 185/15(e)); these are not modelled as steps. Licensed persons may still use other permitted business forms (805 ILCS 10/4, not cited in sections).
  * LLP as a liability shield: the structure table keeps the seven-rule order shared with other states, so a multi-owner business wanting limited liability is routed to the LLC rule, which names the LLP (805 ILCS 206/1001) as an alternative; the general-partnership rule names it as an optional later step.
  * Business corporations owe an initial franchise tax under the Business Corporation Act in addition to the $150 filing fee; the tax sections are not printed here.
  * The 'required fee' for an LLP statement of qualification is not stated in the sections printed (805 ILCS 206/1001(e)); LLP status lasts one year after filing, so renewal is presupposed but not modelled.
  * Not-for-profit corporation status is a state corporate form, not tax exemption; federal 501%%(c)%% status is outside the Illinois Compiled Statutes and not modelled.
  * Annual reports ($75 for an LLC, § 50-10(b)(11); $75 for a business corporation, 805 ILCS 5/15.10(o); $10 for a not-for-profit, 805 ILCS 105/115.10(m); $100 for a limited partnership, 805 ILCS 215/1302(b)(6)) are not modelled.
  * LLCs with series or the ability to establish a series pay $400 instead of $150 (§ 50-10(b)(1)); not modelled in the fee step.
